“Investment professional” means:

1.0 an authorised person;

2.0 a person who is exempt, as a result of an exemption order made under section 38(1) of the United Kingdom Financial Services and Markets Act 2000, in relation to one or more relevant scheme activities;

3.0 any other person:

3.1 whose ordinary activities involve him in participating in unregulated schemes for the purposes of a business carried on by him; or

3.1 who it is reasonable to expect will so participate for the purposes of a business carried on by him;

4.0 a government, local authority (whether in the United Kingdom or elsewhere) or an international organisation;

5.0 a person (“A”) who is a director, officer or employee of a person (“B”) failing within any of the sub-paragraphs 1 – 4, when the communication is made to A in that capacity and where A’s responsibilities when acting in that capacity involve him in B’s participation in unregulated schemes.

An “authorised person” means (in accordance with section 31 of the United Kingdom Financial Services and Markets Act 2000 (Authorised persons)) one of the following:

1.0 a person who has permission to carry on one or more regulated activities under the Act;

2.0 an incoming EEA firm;

3.0 an incoming Treaty firm;

4.0 an ICVC;

(b) Sophisticated Investors

The Scheme Particulars of the Fund and the information about the Fund are exempt from the restriction on financial promotion (in section 21 of the Financial Services and Markets Act 2000) on the communication of invitations or inducements to participate in unregulated schemes on the grounds that they are made to a certified sophisticated investor.

The contents of the Scheme Particulars and other communications about the Fund have not been approved by a person authorised under the Financial Services and Markets Act 2000 and, unless the exemption referred to above or other exemptions apply, such approval would be required by section 21 of that Act.

In order to qualify as a certified sophisticated investor, a person must:

1.0 hold a current certificate as specified in Regulation 50(1)(a) of the Financial Services and Markets Act 2000 (Financial Promotions) Order 2005; and

2.0 have signed a current statement as specified in Regulation 50(1)(b) of that Order.

Buying the Units to which the Scheme Particulars of the Fund and other information relate may expose an investor to a significant risk of losing all of the property invested.
